Changing company directors: choose the right route and document the handover

CA Finalist, ACCA FinalistEditorial team: Chartered Advisory Team of Chartered Accountants
Business tax guide: Director changes: appointment, resignation and removal
Quick answer: Identify how the directorship begins or ends before choosing documents: election, a casual vacancy, resignation and removal follow different routes. Check eligibility, the applicable corporate decision and current Form 9 filing, then separately address bank mandates, access, employment and share ownership.

“Remove my partner from the company” may mean ending a directorship, buying their shares, terminating employment or changing bank signing powers. Those are different actions. Start by listing every role the person holds and the outcome intended for each. A single form cannot safely stand in for all of them.

Choose the event before choosing a template

Choose the event before choosing a template
EventWhat the review needs
Election or first appointmentApplicable appointment basis, eligibility, consent and term
Casual vacancyWhy the seat became vacant and the relevant board authority
Voluntary resignationActual resignation evidence, effective-date analysis and remaining board position
RemovalApplicable meeting procedure, appointment history and voting analysis
Change in particulars onlyWhich recorded detail changed and its supporting evidence

Section 161 addresses casual vacancies; section 163 applies a specific opposing-vote test to removal. Do not assume that 51% ownership settles a removal. SECP publishes Form 9 for director and officer particulars; check the current version for the actual change.

Worked example: resignation without a share sale

A hypothetical founder owns 40% of a private company and also acts as a director and bank signatory. They want to leave management but retain the investment. Record three separate questions: how the directorship ends, how signing authority changes, and confirmation that the shares are not being sold in this proposal.

Do not silently amend the member register to zero shares because the director is leaving. If the owners later agree a purchase, use the share-transfer checklist for that transaction. Similarly, a directorship change should not be treated as proof that a personal guarantee or employment obligation has been released.

Prepare a director-change file

Prepare a director-change file
RecordWhat to check
Latest director and officer recordWho is currently recorded and in which capacity
Articles and appointment historyHow the seat arose, election evidence and remaining term
Event evidenceConsent, decision, resignation or removal records appropriate to the route
Dates and identity particularsActual event date, consistent spelling and current required details
Board position after changeMinimum composition, quorum and authority to continue acting
Current Form 9 packRequired particulars, attachments, signatures, due date and submission outcome

Keep the history because it may change the answer. For a contested removal, a recent shareholding table alone may not provide the information needed to assess voting. Ask the adviser which election and appointment records are missing before scheduling a meeting whose validity could later be disputed.

Worked example: an operations handover

Suppose an outgoing director is the only person who knows where the signed lease, banking correspondence and regulator notices are stored. Create a handover list with three columns: item, new responsible person and evidence of transfer. Mark an item complete when the company has usable access to its records, not merely when someone says they sent an email.

Worked example: an operations handover
Operational itemCompletion check
Company and filing recordsFinal signed copies and outstanding matters received
Bank and approval mandatesBank acknowledges the applicable authority change
Company email and portal rolesAuthorised access reassigned through the provider process
Open contracts and noticesNew owner records obligations and response dates
Devices and company documentsReceipt records what was returned and what is missing

Use named company access where available and never share passwords or one-time codes in a public enquiry. Avoid deleting business records during access changes. Preserve the evidence needed for accounts, disputes and ongoing work. The records-handover guide provides a reusable way to track missing items and open responsibilities.

What a complete outcome looks like

  1. The company can explain the legal basis and effective event date.
  2. The signed evidence matches the filing particulars.
  3. The submission and recorded outcome are retained and checked.
  4. The remaining board and signing arrangements have been reviewed.
  5. Separate ownership, employment, guarantee and access questions have an identified owner.

Check the founders' governance guide if the change exposes an unresolved agreement about management or departures. Seek a focused review for a disputed resignation, an uncooperative former director, a sole remaining signatory or missing election records. Ask for the next lawful step from the actual facts; do not fabricate a resignation or backdate a decision to simplify the form.

Discuss the next step for your company

I need a review of a director change, the required records and the management handover. Start with a short summary. Ask for the work scope, required documents and fee before proceeding. Do not send passwords, identity scans or bank statements in the first enquiry.

Questions people also ask

Does resignation transfer my shares?

Treat the directorship and shareholding separately. A proposed share sale requires its own terms, evidence and transfer process.

Can a 51% shareholder remove any director?

Do not use that shortcut. Removal requires analysis of the applicable rules, appointment or election history and voting.

Can the board appoint anyone as an additional director?

First identify the lawful appointment route and applicable company documents. A casual vacancy is not the same as simply creating another board seat.

Does Form 9 update bank signing rights automatically?

Arrange the bank’s own mandate process and keep its acknowledgement. Corporate filing and operational authority changes should be tracked separately.
