Federal and state filing are two separate obligations

USA guide: Federal and state tax filing: two separate obligations
Quick answer: Federal and state filings are independent obligations with their own forms, deadlines and penalties. A state may require a return even where the federal position produces no liability.

The most common US compliance failure among non-resident founders is not getting a number wrong. It is assuming that one filing covers everything.

Two independent systems

The federal government taxes through the IRS. Each state runs its own system with its own rules, rates, thresholds, forms and deadlines, and its own enforcement.

They are not coordinated in the way a single national system would be. Meeting your federal obligation says nothing about your state position, and vice versa. A business can have a federal filing and no state one, a state filing and no federal one, or several state filings and one federal.

The federal question: is your income effectively connected?

For a non-resident, the threshold federal question is whether income is effectively connected with the conduct of a US trade or business.

This is a facts-and-circumstances test about how you actually operate — where the work is performed, where decisions are made, whether you have dependent agents or employees in the United States, and how your activity presents to the market.

It is not answered by your entity type, your formation state, or where your bank account is. A Pakistan-based consultant performing all services from Karachi for US clients is in a different position from one who has a US-based employee closing deals.

Because it is fact-dependent, it needs an actual analysis. Confident free advice on this point is worth what you paid.

The state question: nexus

States apply their own connection tests, and they differ from the federal one and from each other. Physical presence, economic thresholds, employees and inventory all feature.

Critically, a state can require a return where the federal position produces nothing. States are increasingly active with remote and foreign-owned businesses, and they do not wait for the IRS.

And two more clocks

Beyond income tax there are obligations that many founders never connect to "tax filing" at all:

  • Franchise tax and annual reports, which are entity-maintenance charges running whether or not you trade.
  • Sales tax, which follows your customers and inventory rather than your profit.
  • Form 5472, for foreign-owned LLCs, which files in a year of no activity at all.

Four separate clocks, four separate penalties.

Build the map once

  1. List every state you have any connection with — presence, employees, inventory, or sales above a threshold.
  2. For each, identify what it requires and when.
  3. Add the federal obligations, including information returns.
  4. Put every deadline in one calendar with an owner against each.
  5. Revisit whenever you enter a new state or change how you operate.

That map takes an afternoon and prevents the whole category of failure.

Confirm before you rely on this. US federal and state rules change frequently and differ by state. Check the current position with the IRS, the relevant state authority, or a licensed US preparer or attorney before acting. Chartered Advisory prepares and supports; a licensed US professional signs where the law requires it.

Build a jurisdiction-by-return grid

List the entity, federal tax classification, owners, states of formation, physical operations, employees, property and sales. Then map each possible federal return or information filing separately from state income, franchise, gross-receipts, payroll and sales-tax obligations. No federal income tax due does not mean no federal information return, and no state income tax does not mean no annual state charge.

For each row, record the trigger, period, due date, extension, payment method and responsible person. A non-resident-owned disregarded LLC is a classic case where an information filing may exist despite little or no income-tax liability. Recheck the grid whenever the business hires, stores inventory, crosses a sales threshold or begins operating in another state.

Questions people also ask

Can I owe a state return with no federal liability?

Yes. States apply their own rules and their own thresholds. A position that produces nothing federally can still create a state filing obligation, and states pursue those independently.

What is effectively connected income?

Broadly, income connected with the conduct of a US trade or business. Whether your income is effectively connected is a fact question about how and where you operate, and it is the question that decides whether you owe US tax at all.

Does having a US LLC automatically make my income US-taxable?

No, and neither does it automatically exempt it. Entity choice does not answer the effectively-connected question. Anyone giving you a definitive answer without asking how you operate is guessing.

How many states might I have to file in?

As many as you have nexus in. For a services business with no US presence, often none. For an e-commerce business with distributed inventory, potentially several.

Do state deadlines match the federal one?

Not always. Several states use different dates, and franchise tax and annual report deadlines are different again. Diarise each separately rather than assuming one date covers everything.
